These Terms of Service ("Terms") constitute a binding legal agreement between you and Wood Consulting Partners, LLC, doing business as OfficialsBooks ("we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these terms, please do not use our service.
Description of Service
OfficialsBooks provides billing and invoicing software for sports officiating chapters. Our service allows you to import game data, generate invoices, track payments, and manage official assignments.
Third-Party Integrations
Our Service may integrate with third-party platforms (such as ArbiterSports). These services are not under our control, and we are not responsible for any issues, data inaccuracies, service interruptions, or downtime caused by these third-party providers. Your use of third-party services is subject to their respective terms and policies.
User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring the accuracy of data you input into the system
- Complying with applicable laws and regulations
Data Ownership
You retain ownership of all data you input into OfficialsBooks. We do not claim ownership of your game data, invoices, or other content. You may export or delete your data at any time.
Fees and Payments
Access to certain features of the Service may require payment of fees. We reserve the right to change our pricing or subscription models upon reasonable notice to you. All fees are non-refundable unless otherwise required by law or expressly stated at the time of purchase.
Termination
You may terminate your account at any time by contacting us at support@officialsbooks.com. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the service. We may perform maintenance or updates that temporarily affect availability.
Limitation of Liability
OFFICIALSBOOKS IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL WOOD CONSULTING PARTNERS, LLC, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
Assignment and Transfer of Rights
We may assign, transfer, or delegate these Terms and our rights and obligations hereunder, in whole or in part, at any time without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, or in the event of a spin-off of the OfficialsBooks service into a standalone legal entity. You may not assign these Terms or transfer any rights to use the Service without our prior written consent.
Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the service. Your continued use of OfficialsBooks after such modifications constitutes acceptance of the updated Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
